ChemData MiniApps — Master Individual Single-User Licence

ChemData MiniApps — Master Individual Single-User Licence

Provider: SafeChemEdu
Licence type: Individual Single-User Licence
Delivery model: Hosted online application
Standard licence period: 12 months from Activation Date

1. Scope

These Master Licence Terms apply to a ChemData MiniApp purchased as an individual standalone product from SafeChemEdu.

The particular MiniApp purchased, its product name, product code, purpose, principal functions, entitlement identifier, price and any product-specific conditions are set out in the applicable Product Schedule and/or customer order.

These Master Licence Terms and the applicable Product Schedule operate together.

2. Licence grant

SafeChemEdu grants one named individual a limited, non-exclusive and non-transferable right to access and use the ChemData MiniApp identified in the applicable Product Schedule or customer order.

The licence provides access to the MiniApp as a hosted service.

It does not transfer ownership of the software, source code, application architecture, templates, designs, databases, workflows, system structures, documentation or other SafeChemEdu intellectual property.

3. Activation and licence term

Unless otherwise stated in the applicable Product Schedule or customer order, a purchased licence continues for 12 months from the Activation Date.

The Activation Date is the date on which SafeChemEdu first establishes working access to the purchased MiniApp for the customer’s verified account.

The normal access pathway is:

Purchase → Customer Account / Verified Email → Product Entitlement → MiniApp Access

Possession of, or knowledge of, a MiniApp URL does not itself establish a licence or authorise access.

4. Single-user scope

The licence is assigned to:

one named individual + one verified email address + one SafeChemEdu customer account + the applicable MiniApp entitlement.

The named user may:

  • access the MiniApp from a reasonable number of supported devices;
  • use it for their own professional or workplace activities;
  • use it across projects or workplaces for which they are personally responsible;
  • create and save records where that functionality is provided;
  • print and export records where those functions are provided; and
  • provide completed reports or exported records to authorised recipients.

The named user must not:

  • share login or account credentials;
  • permit another person to operate the MiniApp through their account;
  • establish or use a shared or generic workplace login;
  • resell, sublicense, rent or commercially provide access to the MiniApp;
  • copy or reproduce the application;
  • reverse engineer or attempt to obtain its source code; or
  • represent the MiniApp as their own software product.

5. Demonstration access

SafeChemEdu may provide a 7-day demonstration entitlement for selected ChemData MiniApps.

Demo access is provided for evaluation purposes and does not constitute the purchase of a 12-month Individual Single-User Licence.

A demonstration entitlement may require a verified email address and SafeChemEdu customer account.

Unless otherwise stated:

  • demonstration access expires seven days after activation;
  • a demonstration entitlement has no cash value;
  • demo access does not qualify for a renewal discount;
  • demo access does not create an upgrade credit toward the ChemData MiniApps Suite or ChemDataVault; and
  • continuation after the demonstration period requires purchase of the applicable licence.

SafeChemEdu may change, suspend or withdraw a demonstration offer.

6. Customer records and responsibilities

The customer is responsible for information entered into a MiniApp and for checking the accuracy, completeness and suitability of information, records and reports produced.

The customer is responsible for retaining or exporting records required for workplace, contractual, regulatory or legal purposes.

Any workplace decision, assessment, authorisation or approval made or recorded using a MiniApp remains the responsibility of the customer and/or appropriately authorised workplace personnel.

7. Customer data and record retention

The manner in which information is stored may vary according to the functionality of the particular MiniApp and the SafeChemEdu service through which it is provided.

Where customer information is stored or processed by SafeChemEdu services, it is handled in accordance with SafeChemEdu’s applicable Privacy Policy, Customer Data provisions and related terms.

Customers should not rely upon a MiniApp as their sole statutory or long-term record repository unless the applicable Product Schedule expressly provides that service.

Customers remain responsible for exporting and retaining records that they are required to keep.

8. Professional judgement and compliance

ChemData MiniApps are chemical-management support tools.

They do not replace:

  • professional judgement;
  • workplace consultation;
  • competent technical advice;
  • site-specific risk assessment;
  • Safety Data Sheet review;
  • workplace procedures;
  • management responsibilities; or
  • compliance with applicable legislation, regulations, codes, standards, licences and other obligations.

9. Product functions

The purpose and principal functions of each MiniApp are described in its applicable Product Schedule.

SafeChemEdu may improve, modify or enhance a MiniApp during the licence period, provided that such changes do not materially remove the fundamental purpose of the purchased MiniApp.

10. Updates and support

An active licence includes:

  • access to the purchased MiniApp;
  • updates and improvements released for that MiniApp;
  • security and reliability updates; and
  • reasonable support for account and access issues.

Unless separately agreed, the licence does not include:

  • custom software development;
  • consulting;
  • customer data entry;
  • regulatory advice;
  • legal advice; or
  • professional approval of customer decisions, assessments or records.

11. Renewal

Individual standalone ChemData MiniApp licences do not automatically renew during SafeChemEdu’s initial commercial rollout.

The customer must actively purchase or approve a further 12-month licence period.

Unless otherwise stated in the applicable Product Schedule or renewal offer, the renewal price for an individual standalone MiniApp is:

A$100 less than that MiniApp’s original purchase price.

SafeChemEdu will not charge a customer for renewal without the customer’s express agreement.

ChemData MiniApps Suite licences are subject to separate Suite pricing and renewal terms.

12. Expiry

At the end of the purchased licence period, the customer’s entitlement to use the MiniApp may cease unless the licence is renewed.

Customers should export any records they are required to retain before licence expiry.

Any post-expiry access or grace period provided for a particular product will be stated in the applicable Product Schedule, renewal notice or customer account information.

Renewal restores the entitlement applicable to the renewed licence.

13. Refunds, reversed payments and entitlement revocation

Where a purchase is fully refunded, cancelled, reversed or otherwise ceases to constitute a qualifying paid purchase, the corresponding MiniApp entitlement may be revoked.

Where only part of a transaction is refunded, SafeChemEdu may adjust the corresponding entitlement or commercial credit as appropriate to the refunded transaction.

Revocation of an entitlement following a refund does not affect any statutory right or remedy that the customer may have under applicable law.

Refunds and cancellations are also governed by SafeChemEdu’s applicable Refund and Cancellation Policy.

14. Upgrade credit

The qualifying original purchase amount actually paid for an eligible standalone ChemData MiniApp may be credited against an eligible upgrade to:

  • the ChemData MiniApps Suite; or
  • ChemDataVault.

Unless otherwise stated in an applicable offer, eligibility applies while the standalone licence is active or within 30 days following its expiry.

The credit:

  • applies once to the qualifying upgrade;
  • excludes refunded or reversed amounts;
  • excludes separately charged services;
  • is not transferable;
  • cannot be redeemed for cash; and
  • cannot reduce the upgrade price below zero.

The renewal pricing applicable to the ChemData MiniApps Suite is governed separately by the Suite Product Schedule or applicable Suite offer.

15. Australian and international sales

SafeChemEdu’s Australian customer pricing is displayed inclusive of Australian GST where applicable.

For international transactions, Australian GST is applied only where legally applicable.

VAT, GST, sales tax or similar taxes may apply according to the customer’s location and the relevant transaction.

Unless otherwise expressly stated, ChemData MiniApp prices are denominated in Australian dollars (AUD).

16. Suspension or termination

SafeChemEdu may suspend or terminate access where reasonably necessary because of:

  • suspected account sharing or unauthorised access;
  • unlawful or harmful use;
  • material breach of these terms;
  • fraudulent payment;
  • refunded, cancelled or reversed payment affecting the entitlement; or
  • a material security risk.

Where reasonably practicable and appropriate, SafeChemEdu will notify the customer and provide a reasonable opportunity to correct a remediable breach before terminating the licence.

17. Statutory rights

Nothing in these Master Licence Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable legislation.

18. Commercial entitlement

A successful qualifying purchase establishes a SafeChemEdu product entitlement.

The standard commercial structure is:

Customer Account + Verified Email + Purchased Product Entitlement + Active Licence + Activation Date + Expiry Date

Access is controlled by the SafeChemEdu entitlement system.

The intended customer pathway is:

SafeChemEdu → Customer Login → My ChemData MiniApps → Entitlement Check → Purchased MiniApp

Possession of a MiniApp URL does not itself authorise access.

Source-code repository access is not included in the licence.

19. Product Schedules

Each standalone ChemData MiniApp has its own Product Schedule identifying, as applicable:

  • product number;
  • product name;
  • product code;
  • purpose;
  • principal functions;
  • entitlement identifier;
  • purchase price;
  • renewal price or renewal rule; and
  • product-specific conditions.

Where a Product Schedule expressly varies a product-specific matter, the Product Schedule applies to that matter.

These Master Licence Terms govern all other aspects of the individual licence.

20. Related terms

These Master Licence Terms operate together with SafeChemEdu’s applicable:

  • Terms and Conditions;
  • Privacy Policy;
  • Refund and Cancellation Policy;
  • Customer Data provisions;
  • checkout terms; and
  • individual ChemData MiniApp Product Schedule.

21. Document status

These Master Licence Terms establish the commercial licensing framework for individually purchased ChemData MiniApps.
